(Website and JaiDee Platform)

JaiDee Technologies Co., Ltd. and its affiliates ("JaiDee", "we", "us", or "our") provide this website and the JaiDee electronic lending platform accessible at https://jaidee.co.th (together, the "Website") for information and for the submission and administration of credit applications. By accessing and using the Website, you agree to the following Terms of Use ("Terms of Use"). If you do not agree to these Terms of Use, you must not use the Website.

For the avoidance of doubt, these Terms of Use govern your access to and use of the Website. They do not govern the services provided by JaiDee. Your use of any credit facility, the PAYS Service, or any other product is governed separately by the General Terms and Conditions, the Loan Agreement, the Loan Confirmation, the Platform Services Agreement, and the other Loan Documents. Where any of those documents conflicts with these Terms of Use in respect of a product, that document prevails.

A. USE OF THE WEBSITE

1. Permitted use

You agree to use the Website only for the purposes permitted by these Terms of Use and in accordance with all applicable laws and regulations.

2. Intellectual property

The Website and all related content, including all intellectual property rights (including copyrights, patents, trademarks, service marks, design rights, software, and the "look and feel" of the Website, together with any modifications and alterations to it) in the Website and related content (collectively, the "Content"), shall remain at all times the property of JaiDee and of the persons who authorise JaiDee to exercise those rights.

JaiDee grants you a limited, revocable and non-exclusive right to access and use the Website for your personal use, provided that you comply with these Terms of Use. You are not granted the right to license, republish, distribute, copy, transfer, sublicense, sell, reverse engineer, disassemble, translate or reproduce any part of the Website or any software forming part of the Website, or to use any Content for any purpose other than your personal use. JaiDee and its licensors reserve all other intellectual property rights and all other rights or rights of ownership not expressly granted to you under these Terms of Use. You may not use the Website in any manner that exceeds the rights expressly granted in these Terms of Use, and any such use will constitute a breach of these Terms of Use.

3. No advice; no offer

The Website is provided for informational purposes only and does not constitute a solicitation, offer, recommendation or advice to enter into any transaction. Nothing on the Website constitutes financial, investment, tax or legal advice. The information displayed on the Website should not be used as the basis for making any financial or investment decision. You should consider your own financial situation, and seek independent professional advice where appropriate, before applying for any product.

All products and services displayed on the Website are subject to eligibility, affordability and credit assessment, and to final approval. Terms, interest rates, fees, charges and coverage details may vary depending on individual circumstances and are indicative until confirmed in a Loan Confirmation.

4. Prohibited conduct

You agree not to access (or attempt to access) the Website by any means other than the browser or interface provided by us. You further agree that you will not take any action that:

(a) interferes with or disrupts access to the Website by any user, or the operation of the Website (or the servers and networks connected to the Website);

(b) circumvents, evades, disables, damages or interferes with the operation of any security-related feature of the Website;

(d) violates any applicable law (including laws relating to the commercial use of a person's image, rights of privacy, defamation and obscenity).

In addition, you agree not to:

(a) provide false, inaccurate, incomplete or misleading information;

(b) use automation (for example, bots or scripts) for the purpose of monitoring, searching, collecting, extracting, reproducing or harvesting information on the Website, or to carry out any activity related to such operations, for any reason; or

(c) carry out any business activity, including sales, promotion or advertising, or enter into any related agreement in connection with the Website or its Content, without the express consent of JaiDee.

5. Registration, access credentials and devices

Where the Website requires registration, registration is complete when you have completed the registration steps through the Website or any other authorised channel and have completed the identity verification process. You must be at least 20 years of age (or otherwise of full legal capacity) and legally capable of entering into binding obligations.

You must keep all access credentials, including username, password, PIN, fingerprint, facial recognition data, biometric data and one-time passwords (OTP) strictly confidential, and must not disclose them or act in any way that causes them to be disclosed to a third party. Disclosure of any access credential constitutes a material breach of these Terms of Use. You are solely liable for any loss, damage or leakage arising from the disclosure, loss or unauthorised use of your access credentials caused by your act or omission.

You are solely responsible for controlling and securing your transaction devices and must not permit any third party to possess or control them, whether or not any automatic login function is enabled.

Any instruction, request or transaction carried out on the Website using your access credentials shall be deemed valid, binding and expressly made by you. You agree that such action constitutes a valid electronic signature under the Electronic Transactions Act B.E. 2544 (2001), as amended, satisfying all legal requirements applicable to documents made in writing and admissible as evidence in administrative or judicial proceedings.

6. Right to refuse access or service

JaiDee reserves the right, in its sole discretion and without notice, to deny any person access to the Website for any reason whatsoever, including for breach of these Terms of Use, and to refuse, suspend or decline to act on any instruction or transaction where it appears ambiguous, where there is reasonable suspicion of unauthorised access, or where acting on it would breach applicable law, regulatory guidance or these Terms of Use.

Display or listing of a loan application does not guarantee that the application will be approved. We reserve the right to decline applications at our discretion, to request additional documentation, and to amend, withdraw or vary product features, pricing or availability. Approval decisions are subject to our internal policies and applicable regulatory requirements.

B. LINKS

The Website may contain links to other websites that are entirely unrelated to the Website. JaiDee does not control or provide any support to such websites and is not responsible for their products, services or content, nor for the accuracy or reliability of the information, comments, suggestions or statements displayed on them.

C. NO WARRANTIES

We provide the Website and all Content contained on the Website to you "as is". No warranty of any kind is given, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, or any warranty of title or non-infringement. Although JaiDee makes reasonable efforts to display accurate and up-to-date information on the Website, JaiDee makes no warranty or representation as to the accuracy of such information and shall not be liable or responsible for any error or omission in the Content on the Website.

Neither JaiDee nor the Service Provider is under any obligation to verify the authenticity or completeness of any document or information you submit. Where any false statement or information is detected, this may result in immediate cancellation of the credit facility, recall of the loan principal, or legal action.

D. LIMITATION OF LIABILITY

You use the Website at your own risk. In no event shall JaiDee, or any officer, director, manager, shareholder, member, employee, agent or contractor of JaiDee, be liable for any direct or indirect loss or damage arising out of or in connection with the use of, misuse of, or inability to use the Website, or any Content or services related to the Website. Without limiting the foregoing, JaiDee is not responsible and will not be liable for any loss or damage related to or arising from any virus that may affect your device or other property as a result of your access to or use of the Website, and does not warrant that the Website will be available uninterrupted or secure.

Without limiting the foregoing, we are not liable for:

(a) any indirect, incidental, special or consequential loss arising from use of the Website;

(b) delays or interruptions caused by technical faults, maintenance or events beyond our reasonable control; or

This limitation of liability is a limitation of aggregate liability applying to all losses and damages of any nature whatsoever (whether general, special or consequential loss or damage, loss or damage for breach of contract, punitive damages or otherwise, including loss of data), whether arising in contract, negligence, gross negligence or any other tort, even if JaiDee or its representatives have been advised of, or should have known of, the possibility of such damages.

If you are dissatisfied with the Website, the Content or these Terms of Use, your sole and exclusive remedy is to discontinue use of the Website and the Content.

In the event that a court of competent jurisdiction determines that any exclusion or limitation of liability set out in these Terms of Use is invalid or unenforceable, that provision shall be deemed amended to the maximum limitation of liability permitted by applicable law, and JaiDee's liability shall be limited to that extent.

Nothing in these Terms of Use excludes or limits liability for wilful misconduct or gross negligence on the part of JaiDee, or any other liability that cannot lawfully be excluded or limited.

E. INDEMNIFICATION

You agree to defend, indemnify and hold harmless JaiDee and its officers, directors, managers, shareholders, members, employees, agents and contractors from and against any and all claims, losses, liabilities, damages, costs and expenses (including but not limited to reasonable attorneys' fees) resulting from, or alleged to result from, your use of the Website or the Content, or your breach of these Terms of Use. This provision shall survive the termination of these Terms of Use.

F. FEES AND CHARGES

All applicable fees, charges and repayment terms will be disclosed to you before you accept any agreement. By accepting a product offer, you agree to the terms presented at the time of approval. All fees and charges stated are inclusive of value added tax (VAT). Debt collection fees are subject to the statutory ceiling and comply with the Debt Collection Act B.E. 2558 (2015). We reserve the right to adjust fee rates or schedules, with prior notice given through electronic channels.

G. PERSONAL DATA PROTECTION

Personal data is collected, processed, disclosed and retained in accordance with JaiDee's Privacy Policy and applicable data protection law, including the Personal Data Protection Act B.E. 2562 (2019). Data may be disclosed to service providers, legal advisers, debt collection agents or judicial authorities as necessary for the administration of credit, debt enforcement or compliance with law.

H. AMENDMENT OF TERMS

We reserve the right to amend, change or update these Terms of Use at any time without prior notice. Amended Terms of Use take effect immediately upon publication on the Website. Your continued use of the Website after amended Terms of Use have been published constitutes your acknowledgement and acceptance of these Terms of Use together with such amendments.

Where an amendment to the General Terms and Conditions governing a credit facility is material and affects your benefits as a borrower, not less than 30 days' prior notice will be given before that amendment takes effect.

For the avoidance of doubt, these Terms of Use relate to your access to and use of the Website and do not apply to your use of any service provided by JaiDee.

I. GOVERNING LAW AND JURISDICTION

These Terms of Use shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to any conflict of laws principle providing for the application of the laws of another jurisdiction. Any dispute arising out of or relating to these Terms of Use, including any question concerning their existence, validity or termination, shall be subject to the exclusive jurisdiction of the courts of Thailand.

J. GENERAL

1. Assignment: JaiDee may assign or transfer its rights and obligations under these Terms of Use, in whole or in part, to any third party without the prior consent of the user. You may not assign or transfer your rights.

2. Severability: If any provision of these Terms of Use is held unlawful or unenforceable, that illegality or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect.

3. No waiver: Any delay or failure by JaiDee to exercise any right under these Terms of Use shall not constitute a waiver of that right.

4. Language: These Terms of Use may be published in Thai and English. In the event of any inconsistency, the Thai version prevails.
